Slovak Telekom integrates PosAm into the Group

Bratislava February 1st 2010 - Slovak Telekom, a.s., one of the strongest players on the Slovak Information and Communication market agreed after several months of negotiations with PosAm, Ltd. to acquire majority 51% share in the company.

Slovak Telekom has been building its position on the Information and Communication systematically and purposefully for many years. Its the company strategy to provide complex and modern solutions to residential and business customers. After acquiring T-Mobile Slovensko and Zoznam in the past, PosAm will become another member of the Slovak Telekom Group.

Slovak Telekom will through the acquisition acquire key competencies in the area of managed IT services and application development, where PosAm represents on the leaders on Slovak IT market. Joint strategic goal of both companies is to offer complex portfolio  of managed and outsourcing services based on data services of Slovak Telekom and infrastructure and application solutions of PosAm to corporate clients and public administration. Slovak Telekom sees a big potential also in utilization of its data centers for application hosting services for small and medium enterprises.

“I perceive the Interest of Slovak Telekom to acquire our company first of all as an appreciation of our long-time work. I am glad that Slovak Telekom has decided to meet its strategic goal of penetration to the IT market through our company. I am convinced that by joining the forces we will manage to bring more complex services of higher quality to our customers. Besides synergies on the local market, we also consider important the possibility to enter multinational group of Deutsche Telekom through Slovak Telekom and get access to  know-how and references of one of the biggest ICT services providers of in Europe. Leading the company at the time when it receives such a strong growth impulse I consider to be a big challenge“, said Marián Marek, general manager of PosAm.

PosAm will continue operating with the original business name as a  separate legal entity after the acquisition. Slovak Telekom is not considering changing the corporate identity of the new daughter company at the moment.

“As a result of linking our company with PosAm there will emerge a reliable ICT partner for corporate clients in Slovakia who will be able to take over responsibility for operation and development of IT systems and infrastructure so that the customer can focus his efforts to core activities”, said Ruediger J. Schulz, Sr. Executive Vice-President of Slovak Telekom responsible for Marketing, Sales and Technology.

Slovak Telekom will control PosAm strategically through Executives. Its an interest of Slovak Telekom to keep operational management in the hands of current PosAm’s management.

Following regulatory approval, Slovak Telekom has finally become the majority stakeholder in the IT firm PosAm, holding 51 percent, after an agreement which was signed to transfer the stake on 29th January 2010.
